Announcement of J.P. Morgan First Capital Securities Co., Ltd. on Transfer of Shares from the Company’s Foreign Shareholder to Domestic Shareholder
First Capital Securities Co., Ltd. (“First Capital”), the shareholder of J.P. Morgan First Capital Securities Co., Ltd. (“JPMFC”), held the 15th Meeting of its Second Board of Directors on 16 December 2016, which reviewed and approved the Proposal on Acquiring Some Shares of J.P. Morgan First Capital Securities Co., Ltd. & Thus Conducting a Related Party Transaction. According to the Proposal, the Board of Directors of First Capital approved that First Capital would spend RMB306,758,901.00 in buying a 33.30% stake in JPMFC from J.P. Morgan Broking (Hong Kong) Limited (“J.P. Morgan”).
After completion of this transaction, First Capital will hold 100% equity shares of JPMFC and JPMFC will be wholly controlled by First Capital.
